1. Acceptance of Terms

By accessing or using the Segio website and platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and investors who access or use the Service.

2. About Segio

Segio is a real estate wholesaling company operating in the state of Florida. We market equitable interests in real estate purchase contracts to qualified investors. Segio is not a licensed securities broker-dealer, registered investment advisor, or licensed real estate broker. We do not offer, sell, or solicit the purchase or sale of any security.

3. Investor Portal Access

Access to the Segio Investor Portal is by invitation only. By accepting an invitation and creating an account, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding agreements
  • All information you provide to Segio is accurate and complete
  • You will maintain the confidentiality of your account credentials
  • You will not share your account access with any third party

Segio reserves the right to suspend or terminate your account at any time, for any reason, including violation of these Terms.

4. Not Investment, Tax, or Legal Advice

All content on the Segio platform — including property listings, financial projections, tax savings estimates, cost segregation analyses, and any written or verbal communications from Segio staff — is provided for informational and educational purposes only. Nothing on this platform constitutes:

  • Investment advice or a recommendation to buy or sell any asset
  • Tax advice or a guarantee of any specific tax outcome
  • Legal advice of any kind
  • An offer to sell or solicitation to buy any security

5. Real Estate Wholesaling Disclosure

Segio operates as a real estate wholesaler in the state of Florida. We acquire equitable interests in real estate purchase contracts and assign those interests to investors. We do not hold title to real property at the time of marketing. All properties are marketed as equitable interests in contracts to purchase real property, not the properties themselves. Segio is not a licensed real estate broker or salesperson.

6. No Guarantee of Returns

Real estate investments involve significant risk, including the possible loss of principal. Past performance of any property, deal, or strategy discussed on this platform is not indicative of future results. Segio makes no representation or warranty that any investment opportunity presented will achieve projected returns, cash flows, or tax benefits. You assume full responsibility for any investment decision you make.

7. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Reproduce, distribute, or publicly display any content from the platform without written permission
  • Reverse engineer, scrape, or extract data from the platform by automated means
  • Use the platform to transmit spam, malware, or any harmful content
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to any portion of the platform or its infrastructure

8. Confidentiality of Deal Information

Property listings, financial models, and deal information shared through the Investor Portal are confidential and proprietary to Segio. You agree not to share, reproduce, or disclose any deal information to third parties without Segio's prior written consent. This obligation survives termination of your account.

9. Third-Party Partners and Referrals

Segio may introduce you to third-party service providers including cost segregation firms, CPAs, DSCR lenders, property managers, and attorneys. These introductions are provided as a convenience only. Segio does not endorse, warrant, or guarantee the services of any third-party provider. You engage third-party providers at your own risk. Segio may receive referral compensation in connection with such introductions, which will be disclosed where required by law.

10. Intellectual Property

All content, trademarks, logos, and materials on the Segio platform are the property of Segio or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right or license to use any Segio intellectual property without prior written consent.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Segio does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Limitation of Liability

To the fullest extent permitted by law, Segio and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service or any investment decision you make based on information presented on the platform — even if Segio has been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Segio and its officers, directors, employees, and agents from any claim, liability, loss, damage, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in South Florida.

15. Changes to These Terms

Segio reserves the right to modify these Terms at any time. We will post the updated Terms on this page with a revised effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
